Terms of Service

1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of RealShoot Pro's AI product photoshoot and image generation services (the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You represent that you are over the age of majority in your jurisdiction and have authority to bind your organization. These Terms constitute a legally binding agreement between you and RealShoot Pro.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your RealShoot Pro account credentials and for all activity that occurs under your account. You agree to notify RealShoot Pro immediately of any unauthorized use of your account. RealShoot Pro reserves the right to suspend or terminate your access to the Service at any time for any violation of these Terms or misuse of the Service.

3. Credits, Subscriptions, and Billing

Certain features require paid subscriptions and/or credits. Credits are consumed when you generate outputs and may expire at the end of a billing period unless stated otherwise. Pricing and allocations may change with notice as required by law. All payments are handled by our payment processor; applicable taxes and fees may apply.

4. AI Outputs; Product and Advertising Compliance

The Service produces AI‑generated images for illustrative and marketing purposes only. Outputs may be synthetic, altered, or approximate and may not depict actual products or environments. You are solely responsible for (a) reviewing outputs for accuracy, suitability, and compliance; (b) complying with all applicable laws and regulations, including consumer protection and advertising standards (e.g., truth‑in‑advertising, endorsements, pricing claims); and (c) providing required disclosures where images are edited, simulated, or generated.

  • Do not use outputs to misrepresent product characteristics or claims.
  • Ensure you have all rights to logos, marks, packaging, and brand assets.
  • Provide disclosures for edited or simulated scenes where required.

5. Content; Intellectual Property

RealShoot Pro retains all rights, title, and interest in and to the Service, including all software, AI models, algorithms, workflows, and documentation. Except as expressly permitted in these Terms, you may not copy, modify, reverse engineer, or create derivative works of the Service. You retain ownership of content you upload ("User Content"). By uploading User Content, you grant RealShoot Pro a limited, worldwide, non‑exclusive, royalty‑free license to host, process, transmit, and display User Content solely to provide the Service (e.g., running the generation workflow, content delivery, abuse prevention, and debugging). We do not use your uploads or outputs to train AI models, and we do not reuse your content for marketing or any other purpose without your explicit consent. We treat uploads and outputs as pass‑through data and delete them after the generation task completes, except for short‑lived caching strictly necessary to deliver results. You represent and warrant that you have all necessary rights and permissions for any images you upload, including any product labels, trademarks, and third‑party assets depicted.

5A. Ownership of Your IP; No Training, No Reuse

  • You own your IP. As between you and RealShoot Pro, you retain all rights, title, and interest in and to your uploads and lawful outputs.
  • No model training. We do not use your uploads or outputs to train AI models.
  • No reuse. We do not reuse your content for marketing or other purposes after generation is complete, unless you give explicit written consent.
  • Pass‑through processing and deletion. Uploads/outputs are processed only to provide the Service and are deleted after delivery, subject only to short‑lived caching needed to complete delivery and to legal or security retention requirements.

6. License to Outputs

As between you and RealShoot Pro, and to the extent permitted by law, you own the lawful AI‑generated outputs you create through the Service. Subject to your compliance with these Terms and payment of applicable fees, you may use, reproduce, display, and distribute such outputs for lawful commercial purposes, including ecommerce listings, ads, and social. You may not use outputs in a way that infringes third‑party rights, violates applicable law, or misleads consumers.

6A. User Content Responsibilities; Rights and Releases

  • You are solely responsible for ensuring you have all rights, licenses, permissions, and clearances to upload any images, logos, branding, product packaging, or other materials (collectively, “User Content”).
  • If your uploads include people or private property, you are responsible for obtaining any required consents and releases (e.g., model or property releases) and for complying with publicity, privacy, and other applicable rights.
  • You will not upload or use materials that are unlawful, infringing, defamatory, deceptive, or that violate a third party’s intellectual property or other rights.
  • You agree that RealShoot Pro has no obligation to screen User Content, but may remove or disable access to any content at our discretion to comply with law or mitigate risk.

7. Acceptable Use

  • Do not bypass security, rate limits, or access controls.
  • Do not probe, scan, or test systems without authorization.
  • Do not upload unlawful, infringing, or harmful content, or content that violates privacy rights.
  • Do not use outputs in a deceptive manner or to misrepresent products.

8. Third‑Party Services and Models

The Service may rely on third‑party AI model providers, storage, and payment processors. We are not responsible for third‑party services, their availability, or their terms. Your use of third‑party services may be subject to their policies.

9. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS. YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF OUTPUTS AND FOR COMPLIANCE WITH LAWS, MLS RULES, BROKERAGE POLICIES, AND INDUSTRY STANDARDS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10A. Copyright and Trademark Complaints (Takedown)

If you believe content available through the Service infringes your intellectual property rights, please submit a written notice that includes: (1) identification of the work or mark claimed to be infringed; (2) identification of the material claimed to be infringing with sufficient detail for us to locate it; (3) your contact information; (4) a statement that you have a good‑faith belief the use is not authorized by the rights owner, its agent, or the law; and (5) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the owner. We may notify the user who posted the material and, where appropriate, remove or disable access to the content.

11. Indemnification

You will defend, indemnify, and hold us harmless from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Service or outputs; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law, regulation, MLS/brokerage rule, or third‑party right.

12. Termination

You may stop using the Service at any time by discontinuing access to your RealShoot Pro account. RealShoot Pro may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, at our sole discretion. Upon termination, your right to use the Service ceases immediately, and RealShoot Pro may delete your User Content and account data subject to applicable legal retention requirements.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California. Where permitted by law, disputes will be resolved on an individual basis; class actions and class arbitrations are not permitted.

14. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

  • No malware, spam, scraping, or automated abuse.
  • No unlawful surveillance or profiling; respect privacy and consent.
  • No uses that contravene MLS rules, fair housing, or advertising laws.

13. Generated Content; Your License to Us

As between you and RealShoot Pro, to the extent permitted by law, you own rights in the images you upload and lawful outputs you generate (“Generated Content”). You grant RealShoot Pro a worldwide, non‑exclusive, royalty‑free license to host, process, transmit, and display your content solely to provide and improve the Service (e.g., content moderation, debugging, caching, model safety and quality). You are responsible for ensuring you have all rights, consents, and permissions needed.

14. Intellectual Property; Reservation of Rights

The Service, software, models, interfaces, documentation, design, and all related intellectual property are owned by RealShoot Pro and its licensors. Except for the limited rights expressly granted here, we reserve all rights. You will not copy, modify, distribute, sell, or create derivative works of the Service.

15. Credits, Billing, and Taxes

Credits enable generation. Credits, fees, and any applicable taxes are due as stated at purchase. Credits may expire at the end of a billing period or as otherwise communicated. All payments are non‑refundable except where required by law.

16. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALSHOOT PRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR‑FREE, ACCURATE, OR MEET YOUR REQUIREMENTS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALSTAGE PRO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You will defend, indemnify, and hold harmless RealShoot Pro and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your content or use of the Service; (b) your violation of these Terms or applicable law; or (c) any dispute between you and a third party.

19. Suspension and Termination

We may suspend or terminate the Service or your access immediately for any breach, suspected fraudulent or unlawful activity, or to comply with law. Upon termination, your rights under these Terms cease, except for provisions that by their nature survive (including Sections 13–18 and 21–23).

20. Dispute Resolution; Arbitration

Except where prohibited, any dispute will be resolved by binding, individual arbitration under the rules of JAMS in the county of our principal place of business. You and RealShoot Pro waive the right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction to prevent unauthorized use or infringement of IP.

21. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws principles, and applicable U.S. federal law.

22. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated as required by law. Continued use after changes take effect constitutes acceptance of the updated Terms.
